THE WEST VANCOUVER SENIORS’ CENTRE COMPUTER CLUB

CONSTITUTION AND BY-LAWS

1. Name.

The Club shall be called `The Computer Club”.

2. Aims

The aims of the Club shall be to educate and assist members of the West Vancouver Seniors’ Centre who are interested in using computers.

3. Membership

Membership in the Club shall be open to all members in good standing of the West Vancouver Seniors’ Centre (the `Centre') and a member of the Centre who has made application to join the Club and who has paid the Club membership dues is a member of the Club (a `Member').

4. Officers.

The officers of the Club shall consist of a President, Vice-President, Secretary-Treasurer and the immediate Past President who shall in addition be directors of the Club. The Directors may, if they see fit, separate the offices of Secretary and Treasurer and, having been separated, may be recombined.

5. Directors.

The Directors of the Club shall consist of eight Members which shall include the Officers.

6. Duties of Officers and Directors

The Officers and Directors of the Club shall have and perform the duties customarily ascribed to such offices and shall take all decisions respecting use of Club money. The Secretary shall ensure that minutes of the proceedings of the Club and of the Directors are recorded and the Treasurer shall be responsible for maintaining trust accounts in a bank, credit union or at the Centre into which the Club money shall be deposited and shall report annually to the Members on the state of such accounts. If the positions of Secretary and Treasurer are combined the Secretary-Treasurer shall have the duties of both the Secretary and the Treasurer.

7. Term of Office.

Each of the President, Vice-President, Secretary and Treasurer or Secretary-Treasurer and the other Directors who are elected at an annual general meeting shall serve in the office to which they are elected until the earlier of the next annual general meeting at which they are replaced or until any such Officer or Director ceases to be able to act in that capacity or is dismissed by the Members.

8. Annual General Meeting.

The Club shall hold an annual general meeting of its Members on the last meeting day in June of each year or at such other time and date as may be determined by the Directors. The agenda for such meeting shall include the announcement of the names of the nominees for election, a Presidents report, the financial report by the Treasurer or the Secretary-Treasurer as the case may be, the election of Officers and Directors and such other matters as the Directors shall think proper.

9. By-Laws.

The Members may enact or amend the Constitution and the By-Laws for the Club by an affirmative vote of two thirds of the Members present at a meeting.

10. Quorum.

A quorum for a meeting of Members for the transaction of Club business shall be twenty-five percent of the Members. A quorum for a meeting of Directors shall be five Directors present.

11. Chairman

The President or in the absence of the President, the Vice-President, or in the absence of both the President and the Vice-President, the Secretary, shall act as Chairman of every meeting of the Club.

12. Nominations

In advance of each Annual General Meeting the Directors shall appoint a Nominating Committee whose function is to elicit nominations for election to any office of the Club and as Directors. The Committee may consist of one or more Members and may take all lawful steps to persuade Members to accept nomination for election. Any Member may be nominated for election by another Member but the nominated Member must consent to such nomination. The nomination of a Member for any office must be made before the end of the meeting of the Club on the meeting day immediately preceding the Annual General Meeting.

13. Elections

Except in the case of acclamation, elections for the positions of President, Vice-President, Secretary and Treasurer or Secretary-Treasurer as the case may be and Director shall take place at each Annual General Meeting and in the order that such positions are mentioned. Elections shall be conducted by the Nominating Committee who shall provide a ballot to each Member present at the meeting and set rules respecting the mechanics of secret voting. Any Member who is an unsuccessful candidate for election to a position is eligible to stand for election for any office later to be filled by election if that Member has been nominated therefor.

14. Voting

Each Member in good standing who is present at a meeting at which an election is to be held is entitled to vote in the election of Officers and Directors. A Member in good standing who cannot be present at such a meeting is entitled to vote by proxy for a person or persons named in the proxy form for the office or offices stated therein and in order so to do must, before the election starts, file a written form of proxy with a person designated by the Directors.

15. Dues

The amount and frequency of the dues payable to become a Member or to renew a membership shall be fixed by the Members.

16. Committees

The Club shall have a Program Committee and such other committees as the Directors shall determine. The Program Committee shall be responsible for obtaining speakers and organizing and putting on computer related programs which may be of interest to the Members. Any committee constituted by the Directors shall perform the functions prescribed by the Directors. The Chairman of each committee shall be appointed by the President after consultation with the Directors.

17. Workshop Groups

Any group of Members having a common purpose to enhance their knowledge of computers and computing and related subjects may, subject to the consent of the Directors, band together to pursue such purposes. Each such group shall be headed by a chairman chosen as such by such group. The Chairman of each group shall report periodically to the Directors or to the Members if the Directors so request, on the activities of the group.
